This Terms and Conditions agreement (“Terms”) is a contract between you and ANCİENDA TEKNOLOJİ YAZILIM VE PAZARLAMA A.Ş (“Ancienda”, “we,” “us,” or “our”) governing your access to and use of the NoteBase website, iOS application, Android application, and related services (collectively, the “Service”).

By downloading, installing, registering with, accessing, or using NoteBase, these Terms will automatically apply to you. You agree to be bound by these Terms, and you represent and warrant that you have the right, authority, and capacity to enter into this agreement. If you do not agree to all of these Terms, you must not access or use the Service.

NoteBase provides AI-powered services that allow users to upload various types of files to generate notes, summaries, and related content. These Terms grant you a personal, non-exclusive right to use NoteBase to benefit from the Service within the scope defined in these Terms.

The Service, including the NoteBase applications, website, and all associated trademarks, copyrights, database rights, and other intellectual property rights, belong exclusively to Ancienda. You are strictly prohibited from:

• Copying, modifying, or creating new versions based on NoteBase, any part of the Service, or our trademarks.
• Attempting to extract, reverse-engineer, or discover the source code of the Service.
• Translating NoteBase into other languages.

You may not use the Service for any illegal or unauthorized purpose. You agree to comply with all applicable laws, rules, and regulations, and you are solely responsible for your conduct and the content you provide. Furthermore, you agree not to:

• Access the NoteBase private API by means other than those explicitly permitted.
• Interfere with or disrupt the Service, servers, or networks connected to the Service, including by transmitting worms, viruses, spyware, malware, or any destructive code.
• Create accounts through unauthorized automated means, including scripts, bots, spiders, crawlers, or scrapers.

Certain functions of NoteBase require an active internet connection, which can be provided via Wi-Fi or your mobile network provider. Ancienda cannot take responsibility if NoteBase does not function at full capacity due to a lack of internet access or depleted data allowances.

If you use NoteBase outside a Wi-Fi area, your mobile network provider's standard agreement terms apply. You accept full responsibility for any associated charges, including data usage costs and roaming data charges if accessing the Service outside your home territory. If you are not the bill payer for the device being used, we assume you have received explicit permission from the bill payer to use NoteBase.

Additionally, you are responsible for maintaining your device's battery; Ancienda accepts no responsibility if you cannot access the Service because your device has lost power.

NoteBase is currently available as a website and on iOS and Android platforms. System requirements may change, and you will need to download updates to continue using the applications. While Ancienda does not promise to indefinitely update NoteBase to remain compatible with your specific OS version, you agree to always accept and install application updates when they are offered.

We reserve the right to review, change, or discontinue any part of the Service, or introduce charges for specific features, at any time and for any reason. We will never charge you for the Service without making it entirely clear what you are paying for.

We reserve the right to update these Terms at any time. Any changes will take effect immediately upon being published on this page. For significant changes, we will notify you by email or by posting a clear notice on our website.

While we endeavor to ensure NoteBase is updated and accurate at all times, we rely on third parties to provide certain information that makes the Service available. You understand and agree that you use the Service at your own risk. Ancienda accepts no liability for any direct or indirect loss or damage you experience as a result of relying wholly on the functionalities of NoteBase or as a result of third-party actions.

Ancienda reserves the right, in its sole discretion, to suspend or terminate your account and access to the Service at any time, without prior notice, if you violate the letter or spirit of these Terms or create possible legal exposure for Ancienda.

We may also choose to stop providing NoteBase entirely at any time. Upon any termination:

• The rights and licenses granted to you in these Terms will end immediately.
• You must cease all use of NoteBase.

Amendments to the Terms

We are continuously seeking to improve NoteBase, which means we may add, modify, or remove features at any time. We do not guarantee that the Service will always function in the exact same manner. Additionally, we reserve the right to change our pricing and usage limits at our sole discretion. These changes will not apply to the past, and we will notify you in advance via email or a clear notice on our website.

Ancienda reserves the right to amend and update these Terms at any time. Changes will become effective immediately upon being published on this page. You are advised to review this page periodically. By continuing to access or use NoteBase after any changes are made, you are considered to have accepted the updated Terms.

Ancienda reserves the right to refuse, modify, or terminate your individual access to the Service for any reason, at any time, without prior notice and without liability to you. Upon termination of your account, your data and information will no longer be accessible.

In the event that we need to discontinue the NoteBase service entirely for all users, we will provide a one-month notice to give you the opportunity to check and retrieve your account data before the shutdown.

NoteBase, or communications you receive from the Service, may contain links to third-party websites, applications, or features. The Service may also include third-party content that we do not control, maintain, or endorse. Any interaction, correspondence, or data sharing between you and third-party applications is solely at your own risk. You acknowledge and agree that Ancienda is in no way responsible or liable for the content, functionality, or policies of any third-party services.

Intellectual Property Rights and License

All mobile applications, websites, services, and materials developed, published, and made available by Ancienda are the exclusive property of Ancienda. This includes, but is not limited to, the overall structure, design, underlying source code, software architecture, UI elements, visual assets, business data, databases, and the names, logos, and branding associated with the Service. These assets are protected by copyright, trademark, patent, trade secret, trade dress, and other intellectual property laws, both in Türkiye and internationally.

Subject to these Terms, Ancienda grants use and access to NoteBase solely for your own personal, non-commercial use.

Unless expressly authorized in writing by Ancienda, you may not:

• Copy, reproduce, distribute, or commercially exploit any part of NoteBase or its related materials.
• Modify, adapt, reverse-engineer, decompile, disassemble, or create derivative works based on any part of the Service.
• Use the NoteBase name, logo, or other brand elements for any commercial or public purpose.
• Access the Service in order to build a similar or competitive product.
• Remove, alter, or conceal any copyright, trademark, or other proprietary rights notices incorporated in the Service.

All rights not expressly granted to the user under these Terms are reserved by Ancienda.

User Content and Responsibility

You are solely responsible for any content, including files, texts, documents, photos, or audio, that you submit, or adapt through your use of NoteBase. It is your obligation to ensure that you are legally entitled to use such data and that it does not violate any applicable law or the intellectual property, privacy, or personal rights of Ancienda, other users, or third parties. You agree to compensate for any damages incurred by Ancienda or third parties due to your lack of legal entitlement to the content you use.

We reserve the right to remove objectionable content and disable access for anyone who repeatedly infringes upon intellectual property rights or violates these rules. Objectionable content includes, but is not limited to, material that is:

• Unlawful, harmful, threatening, abusive, defamatory, vulgar, or obscene.
• Hateful, or advocates discrimination, harm, or violence against any person or group.
• Invasive of another’s privacy (e.g., sharing unauthorized private information).
• Designed to exploit, harm, or stalk others, particularly minors.
• Intended to generate or disseminate verifiably false information to harm others.
• Containing software viruses, malware, or spam.

Service Interruptions

While it is our intention for NoteBase to be available as much as possible, you acknowledge that the Service may occasionally be interrupted for scheduled maintenance, upgrades, emergency repairs, or due to telecommunications failures.

Warranty Disclaimer

To the maximum extent permitted by applicable law, the NoteBase Service is provided on an “AS IS,” “WITH ALL FAULTS,” and “AS AVAILABLE” basis. Ancienda makes no guarantee that NoteBase will meet your requirements, that the Service will be uninterrupted, timely, secure, or error-free, or that the results obtained from using the app will be accurate or reliable. We assume no liability for any property damage, unauthorized access to our secure servers, data loss, or any bugs, viruses, or malware transmitted to or through the Service by any third party.

Audio Recording Compliance: NoteBase may process audio recordings or other conversations you upload. You are solely responsible for complying with all local, state, federal, and international laws regarding third-party audio recording, including obtaining necessary consent from all parties involved. Ancienda assumes no responsibility for your failure to comply with such laws.

Limitation of Liability

To the maximum extent allowed by law, Ancienda, its partners, or suppliers will in no event be responsible to you or any third party for any indirect, special, or accidental damages. This includes, but is not limited to, damages for loss of profits, goodwill, business interruption, or lost data resulting from your use or inability to use NoteBase, or any third-party conduct.

Indemnification

You agree to protect, defend, and compensate Ancienda, its partners, directors, officers, employees, and agents from any claims, legal responsibilities, damages, losses, or expenses (including reasonable lawyers’ fees) caused by or related to:

• your access to or use of NoteBase and the content you provide,
• your actual or alleged breach of these Terms,
• your violation of any third-party rights, including intellectual property, confidentiality, or privacy rights,
• your violation of any applicable laws or regulations,
• any misrepresentation made by you.

Ancienda reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree not to settle any claim without our prior written consent.

Force Majeure

Ancienda will not be held responsible or considered at fault for any delay, failure, or Service interruption caused directly or indirectly by events beyond our reasonable control. These “force majeure” events include, but are not limited to, natural disasters, war, terrorism, civil unrest, riots, strikes, infrastructure or telecom failures, long-term internet outages, cyber-attacks, hardware/software issues, or government actions. The occurrence of these events will not affect the validity and enforceability of the remaining Terms.

Purchases, Subscriptions, and Billing

Please note that pricing for NoteBase subscriptions may vary depending on the platform you use (e.g., website, iOS or Android mobile applications). The specific pricing, billing cycles, and payment terms of the platform through which you complete your transaction will apply to your purchase.

Ancienda may offer free trials for NoteBase subscriptions at our sole discretion. Unless you affirmatively cancel before the free trial period ends, your trial will automatically convert into a paid subscription, and you will be charged the applicable fees. Unless otherwise stated, all subscriptions automatically renew for successive billing periods of the same duration and price until you cancel.

Cancellation Policy

You must manage and cancel your subscription through the exact same platform where you originally made the purchase.

• App Marketplace Purchases: If you purchased your subscription through a mobile platform (e.g., App Store or Play Store), you must cancel it directly through your account settings on that specific platform. Your cancellation will take effect at the end of your current subscription period, and you will retain access to the pro features until that expiration date.
• Website Purchases: If you purchased your subscription directly through the NoteBase website, you must manage your cancellation via the website.
• Cancellation: If you choose to cancel your subscription normally via the website, the cancellation will take effect at the end of your current billing period.
• Immediate Cancellation via Account Deletion: If you choose to completely Delete Your Account via the website, your subscription and all access to the Service will be terminated immediately, regardless of any remaining time on your current billing cycle. You will be informed of this immediate termination during the account deletion process. By proceeding to delete your account, you expressly acknowledge and agree that this action is absolute, final, and irreversible. You strictly waive any right to object, claim access for the remaining time, or request a refund for the unused portion of your subscription.

Refund Policy: All fees and charges are non-refundable, except as strictly required by applicable law. Simply uninstalling the NoteBase application from your device will not cancel your subscription or stop automatic renewals. Ancienda reserves the right to suspend or terminate your access to the Service for any unpaid or delinquent amounts, and you will remain responsible for all fees incurred through the applicable term.

You acknowledge and agree that by accessing the content immediately, you waive your statutory right of withdrawal and refund once the access is complete.

Changes to Pricing and Limits: Ancienda reserves the right to change our subscription fees, pricing structures, and usage limits at any time. If we do, we will notify you in advance via email or a clear notice on our website. Price changes will only apply to your next billing cycle and will never be applied to past payments.

Governing Law and Dispute Resolution

These Terms and any legal relations arising from them will be governed by and interpreted under the laws of the Republic of Türkiye, without regard to conflict of law principles. You explicitly agree that any actual or potential dispute related to these Terms or your use of NoteBase will be resolved exclusively in the Istanbul Çağlayan Courts and Execution Offices.
